PAYMENT & INVOICING FOR THE HALP NETWORK, LLC

Invoices are net 30 unless otherwise agreed to in writing by the Company. Payments shall be made to The HALP NETWORK, LLC in United States dollars and shall be sent by bank wire or other electronic transfer unless otherwise agreed to in writing by the Company.

THE HALP NETWORK, LLC shall be entitled to all costs of collection. Any judgment or order entered in a collection or other action by the Company shall contain a specific provision providing for the recovery of attorney fees and costs incurred in enforcing collection of the sums owed hereunder, in addition to any other rights the Company may have as set forth herein or otherwise in litigation.

WORKSHOPS AND CLASSES

THE HALP NETWORK, LLC always intends to comply fully with “The Krekorian Talent Scam Prevention Act of 2009” and any workshops or classes offered by the Company do not constitute an opportunity for or a guarantee of employment in any manner. The Company has complied with the bond requirements required from the State of California. Information on the bond may be obtained from the Company upon request. Please note that the following rules are instituted with regard to any workshop or class offered by THE HALP NETWORK, LLC:

Programs offered by THE HALP NETWORK, LLC are for educational purposes only and are not an opportunity to get cast, audition, be pre-screened for possible future auditions, be considered for employment, or interview for a job or role.
Headshots and resumes from actors or other participants at a workshop will NOT BE ACCEPTED by casting directors;
Casting directors will not offer information on any project for which they are currently casting;
No actors will be cast as a direct consequence of attending a workshop, class, etc.;

If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law, including, but not limited to, the warranty disclaimers and liability limitations set forth herein, then the invalid or unenforceable provision will be deemed superseded by a valid, enforceable provision that most closely matches the intent of the original provision, and the remainder of the agreement shall continue in effect. Unless otherwise specified herein, this agreement constitutes the entire agreement between the user and THE HALP NETWORK, LLC with respect to THE HALP NETWORK, LLC website, and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the user and THE HALP NETWORK, LLC with respect to THE HALP NETWORK, LLC website. GENERAL

Choice of Law and Forum; Attorney’s Fees.

In the event of litigation over the terms and use of THE HALP NETWORK, LLC website or any information, software, products, and services included in or available through THE HALP NETWORK, LLC website, you recognize and hereby irrevocably consent to the exclusive jurisdiction of the Federal and State courts in the State of California. Invalidity of any provision of this Agreement shall not affect the validity of the remaining provisions of this Agreement. In the event that any dispute, including a dispute relating to this Agreement should result in litigation, the prevailing party in such dispute shall be entitled to recover from the other party all reasonable fees, costs and expenses of enforcing any right of the prevailing party or parties, as the case may be, including without limitation, reasonable attorneys’ fees and expenses, all of which shall be deemed to have accrued upon the commencement of such action and shall be paid when the litigation reaches the point where a court can determine which party has prevailed. Any judgment or order entered in such action shall contain a specific provision providing for the recovery of attorney fees and costs incurred in enforcing such judgment and an award of prejudgment interest from the date of the breach at the maximum rate of interest allowed by law.

Injunctive Relief.

A breach or threatened breach of any of the promises or agreements contained on THE HALP NETWORK, LLC website or any information, software, products, and services included in or available through THE HALP NETWORK, LLC website may result in irreparable and continuing damage to the Company for which there may be no adequate remedy at law, and the non-breaching party shall be entitled to seek injunctive and, in the event of such breach, an award of actual and exemplary damages, and/or a decree for specific performance (without the need for posting a bond or security therefor), and such other relief as may be proper in order to prevent or curtail such breach, threatened or actual
